These Terms of Service (the "Terms") govern your access to and use of the Nectara Labs website, products, and services (collectively, the "Services"). By accessing the site, creating an account, or placing an order, you agree to be bound by these Terms and by all policies referenced within them. If you do not agree, you must not use the Services.

• You are acquiring products for bona fide research purposes and not for resale to consumers or for any prohibited use;
• All information you provide is accurate, current, and complete; and
• Your use of the products complies with all laws and regulations applicable to you.

All products sold by Nectara Labs are supplied strictly for in vitro laboratory and research use only. They are not for human or animal consumption and are not drugs, foods, cosmetics, dietary supplements, or medical devices. Our products are not intended for any diagnostic, therapeutic, preventative, or clinical use.

By purchasing, you acknowledge and agree that:

• Products will be handled only by qualified individuals trained in laboratory practices and proper safety procedures;
• You assume full responsibility for the safe storage, handling, use, and disposal of all products;
• You are solely responsible for determining the suitability of any product for your intended research and for complying with all applicable local, state, national, and international laws and regulations; and
• You will not administer any product to humans or animals or use it in any manner inconsistent with its intended research purpose.

Certain features require you to create an account. You agree to provide accurate and complete information and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that we reasonably believe have violated these Terms.

All orders are offers to purchase and are subject to acceptance by us. We reserve the right to refuse, limit, or cancel any order at our discretion, including orders that appear to violate these Terms, quantity limits, or applicable law.

We strive to display accurate pricing and availability, but errors may occur. If a product is listed at an incorrect price or with incorrect information, we reserve the right to cancel any order placed for that product, whether or not the order has been confirmed and your payment method charged. Prices are subject to change without notice, and you are responsible for any applicable taxes, duties, and fees.

We will make reasonable efforts to ship orders promptly, but delivery dates are estimates only and we are not liable for delays outside our control. Title and risk of loss pass to you upon delivery to the carrier. You are responsible for ensuring that the products you order may be lawfully imported into, and possessed at, your destination. Any customs duties, import taxes, or compliance requirements are your responsibility.

You agree not to misuse the Services. In particular, you must not:

• Use, resell, or distribute any product for human or animal consumption or for any unlawful purpose;
• Misrepresent your identity, eligibility, or intended use of the products;
• Attempt to gain unauthorized access to the Services, other accounts, or our systems;
• Interfere with or disrupt the integrity or performance of the Services; or
• Use the Services in violation of any applicable law or regulation.

The Services and all content, including text, graphics, logos, product data, and software, are owned by or licensed to Nectara Labs and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose. The Services and all products are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, or that any product is suitable for any particular research application beyond the specifications expressly provided.

To the fullest extent permitted by law, Nectara Labs and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Services or any product, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or relating to these Terms or the Services will not exceed the amount you paid for the product giving rise to the claim.

You agree to indemnify, defend, and hold harmless Nectara Labs and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use or misuse of the Services or products, your violation of these Terms, or your violation of any law or the rights of any third party.

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Nectara Labs operates, without regard to its conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction to resolve any dispute arising out of or relating to these Terms or the Services.

We may revise these Terms at any time by posting an updated version on this page. Changes are effective when posted. We encourage you to review these Terms periodically. Your continued use of the Services after any update constitutes your acceptance of the revised Terms.
